What is Secured Financed Services™ (SFS)?
SFS™ is an invitation only, capital planning, secured project finance model derived from a combination of financing strategies. SFS has three key pillars:
- Cost-effectively raise capital concurrently from sophisticated investors and a broader more diverse pool of investors – namely investment dollars from retail investors
- Defer up to 47% of the fixed costs to build a company-branded online capital raising platform at a time when the need for cash is most critical
- Settle accounts as cash becomes available from the capital raised
SFS is new and revolutionary in the so-called online, crowd-, or democratized capital funding industry.
How does SFS work?
SFS is available to the best-of-the-best pharma, biotech, and life sciences companies by invitation after a prequalification period. To qualify, companies and their leadership must agree to and pass checks: credit, suitability, probability, background and CPVS™ (discussed below). These checks are required for online capital fundraising. Once invited, based on our underwriting, we defer up to 18 months up to 47% of the up-front costs required to build a successful company-branded online capital fundraising platform.
These costs include registered investment advisor (RIA), corporate finance (CorpFin), legal restructuring and regulatory compliance, transfer agent, online platform and media marketing. We take a security interest in a portion of the future capital raised to repay the deferred costs and other assets and capital interests.
All deferred costs are due and payable at the end of the deferral period. Going forward, the company has a free and clear online company-branded funding platform that it can leverage into perpetuity for future online capital raises.
